Start With the Property, Not the Buyer
Before putting an Israeli property on the market, establish exactly what is being sold and whether anything could delay completion. An updated title extract may reveal ownership, mortgages, cautionary notes and other registered rights. Other properties may be administered through the Israel Land Authority, a housing company or another registering body.
Make Sure the Seller Can Complete the Sale
A buyer will ultimately expect registrable title. Existing mortgages, tax and municipal approvals, original documents, powers of attorney and registration discrepancies should therefore be identified early. If the property was inherited but remains registered in the deceased owner’s name, the inheritance documentation and the appropriate sale or registration procedure should also be considered.
Do I Need to Come to Israel to Sell?
In many cases, no. An overseas owner can often conduct the transaction through an Israeli lawyer acting under an appropriate power of attorney. The correct method for executing documents abroad depends on the document, the country in which it is signed and the authority or institution that will ultimately rely on it.
The Power of Attorney Matters
The power of attorney should reflect what actually needs to be done. Depending on the transaction, it may need to cover signing or submitting documents, tax reporting, registration steps and communications with banks or other bodies. It should not simply be treated as a generic administrative form.
Several Owners in Different Countries
Where several family members or heirs live in different countries, coordination becomes more important. The identity and authority of each seller should be established early, and the signing process should be organised so documents do not need to travel repeatedly between jurisdictions.
Check the Tax Position Before Agreeing on the Price
For an overseas seller, the important number is often the expected net proceeds. Israeli capital gains tax can depend on the property, the seller’s status, acquisition history, deductible expenses, depreciation, additional building rights and other circumstances. A foreign resident should not assume that an exemption available to an Israeli resident applies in the same way.
Capital Gains Tax Is Not the Only Possible Charge
Depending on the property and its planning history, betterment levy may also arise. Capital gains tax and betterment levy are separate charges imposed under different legal frameworks. Brokerage, legal fees, mortgage discharge and registration-related costs may also affect the net result.
What If There Is a Mortgage?
An existing mortgage does not normally prevent a sale, but its discharge needs to be built into the payment mechanism. Where the seller lives abroad, dealing with the bank early can be particularly useful because documentation and identification requirements may take longer.
The Sale Agreement and Payment Mechanism
The agreement should address the payment schedule, possession, documents required for completion, removal of mortgages and other rights, responsibility for taxes and charges, and what happens if approvals are not available by the scheduled completion date.
Tax and Municipal Approvals
Completion and registration generally require the appropriate tax and municipal approvals. They do not always arrive on the contractual completion date, so part of the proceeds may need to be held in trust until outstanding approvals are obtained. Contractual completion, receipt of all proceeds and final registration do not necessarily occur on the same day.
Receiving and Transferring the Sale Proceeds
Israeli banks operate under anti-money-laundering and compliance requirements and may request documents explaining the source of funds and the underlying transaction. A seller who intends to transfer the proceeds abroad should consider the banking process before completion rather than waiting until the full price has been received. Requirements vary between banks and according to the circumstances.
Selling an Inherited Property
Where the property was inherited, the succession proceeding and the sale should not necessarily be treated as unrelated matters. A Probate Order or Inheritance Order may be required, several heirs may need to coordinate, and the registration and tax history may be relevant.
What If the Property Is Land Rather Than an Apartment?
A share in land may be an undivided percentage of a larger parcel. Co-ownership agreements, groups of landowners, planning processes and development arrangements can be just as important as the title extract itself.
Currency and the Agreed Price
Israeli real estate transactions are generally negotiated and documented in Israeli shekels even where the seller intends to hold the proceeds in another currency. Exchange-rate exposure should be considered separately with the appropriate banking or financial professionals.
From Decision to Sell to Registration
A properly managed sale from abroad can include title review, resolving registration issues, tax planning, contract negotiation, overseas execution of documents, mortgage discharge, approvals, receipt of the purchase price and registration of the buyer’s rights. My role is to manage the Israeli legal side, explain what is required in clear English and remain the client’s direct point of contact throughout.
